Registration & Deposit
Bidders must present a cashier’s check in the amount of $50,000 made payable to “The Kelly Firm, P.C. Attorney Trust Account” and sign signifying they have read and received a copy of the Terms of Sale & Asset Purchase Agreement, in the form attached hereto.
Balance of Payment
The Balance of Payment is due within (48) hours of the entry of the Order Approving the sale. The Confirmation Hearing is scheduled for June 10, 2024.
Bankruptcy Court Confirmation
Final sale is subject to Bankruptcy Court Confirmation. A hearing is scheduled before Honorable Christine M. Gravelle, United States Bankruptcy Judge, at the United States Bankruptcy Court for the District of New Jersey, Clarkson S. Fisher U.S. Courthouse, 402 East State Street, Trenton, New Jersey on June 10, 2024 at 10 AM.
Transfer of License
Buyer of License is responsible for costs associated with the renewal and transfer of license. Buyer must comply with all state & local rules & regulations.
Clear Title
The sale is subject to bankruptcy court confirmation. License is being offered free & clear of all liens, liquor bills & taxes.
As-Is, Where Is
Liquor License is being sold “as is, where is” with no contingencies. Auctioneer makes no implied warranties or guarantees regarding the condition, description and/or marketability of the liquor license. Please consult with an attorney, the NJ ABC and the town of Red Bank, NJ regarding regulations. Auction is not subject to a place to place or person to person transfer.
The 1st & 2nd Highest Bidders are Bound to Their Bid
At the conclusion of the live auction, the 1st & 2nd Highest Bidders' deposits will be retained and all others will be returned. In the event, the 1st Highest Bidder fails to pay the balance within the allotted time, the 2nd Highest Bidder will be awarded the successful bid at their highest bid price. The 2nd Highest Bidder would then need to arrange to make payment of the balance within 48 hours. Auctioneer reserves the right to resell license, with buyer forfeiting their deposit, if these Terms of Sale are not met. In the event of a resale, original buyer will be responsible for any deficiency in sale price.
